DESCRIPTION OF THE PROGRAM
APPLICATION PROCESS
Become an Associate of the Indo.com web site; First of all, you
need to submit a complete Program application through our site.
We will evaluate your application in good faith and will notify
you of your acceptance or rejection. We may reject your application
if we determine (in our sole discretion) that your site is unsuitable
for the Program. If we reject your application, you are welcome
to reapply to the Program at any time. You should also note that
if we accept your application and your site is thereafter determined
(in our sole discretion) to be unsuitable for the Program, we may
terminate this Agreement.
Affiliates Agreement
THIS IS A LEGAL AGREEMENT BETWEEN YOU AND INDO.COM
BY CLICKING ON THE "ACCEPT" BUTTON AT THE END OF THIS AGREEMENT,
YOU AGREE THAT YOU ARE AFFIRMATIVELY STATING THAT YOU HAVE CAREFULLY
READ AND UNDERSTAND THE TERMS SET FORTH IN THIS AGREEMENT AND YOU
AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.
Overview
This Agreement contains the terms and conditions
that apply to an individual, corporate/ organization and travel
agent to join Indo.com Associates Program (the "Program"). As used
in this Agreement, "we" means Indo.com, and "you" means the applicant.
"Site" means a World Wide Web site and, depending on the context,
refers either to Indo.com's site, located at the URL www.Indo.com,
or to any site that you will link to our site (and which you will
identify in your Program application).
Type of Programs
There are three kinds of associate programs:
- Individual Associates: Any individuals who would recommend
people to book through our site, he/ she will receive reward
points for every bookings.
- Corporate Associates: Secretaries or office managers who
arrange travel for their corporation/ personnel of the corporation.
The employee of that company registering with us will receive
reward points for every booking.
- Travel Agent Associates: Travel agents who would book through
our site can contact us to understand about special attractive
associate schemes that can support your business.

If we accept your application, your web site
will become an "Associate Site" of Indo.com, which, subject to
the terms and conditions of this Agreement, you may display as
often and in as many areas on your Associate Site as you desire.
Also, as a member of the Indo.com Associate Program, you will
have access to the Associate Center, located at http://www.indo.com/ie
and your own personal associate page located at http://www.indo.com/ie/username.
At this site you will be able to download HTML code and graphics
that we have made available for you to use in your web site. You
may only use the HTML code and graphics provided by the Company
to link to or search the Indo.com web site. The HTML code provides
special link formats for linking to our reservation web pages
that will keep track your associate identification. We will not
be liable to you for any lost commissions resulting from user's
following links outside the reservation path. We have the right
to monitor your site, as we feel necessary to make sure that your
links to our web site are appropriate and to notify you of any
changes that we feel should be made. o our site (and which you
will identify in your Program application).
If you do not have a Website to link with us:
If we accept your application, which, subject
to the terms and conditions of this Agreement, you will have access
to the Associate Center, located at http://www.indo.com/ie
and your own personal associate page located at http://www.indo.com/ie/username.
At this site you will be able to download HTML code and graphics
that we have made available for you to use in your web site. You
may only use the HTML code and graphics provided by the Company
to link to or search the Indo.com web site. The HTML code provides
special link formats for linking to our reservation web pages
that will keep track your associate identification. We will not
be liable to you for any lost commissions resulting from user's
following links outside the reservation path. We have the right
to monitor your site, as we feel necessary to make sure that your
links to our web site are appropriate and to notify you of any
changes that we feel should be made.
Associate Relationship Identifiers
We will make available to you several banners and/
or the search form for room's availability that identify yourself
as a member of the Indo.com Associate Program. You must display
this image of Indo.com banner and/ or logo somewhere on your site.
We may modify the text or graphic image of this notice from time
to time. Nevertheless, even though you are a member of the Indo.com
Associate Program, you may not in any manner misrepresent or embellish
the relationship between you and us, nor may you express or imply
any relationship or affiliation between us and you or any other
person or entity except as expressly permitted by this Agreement.
On your own website or your website page provided by us, for you
to: i) easily conduct reservations through our travel portal;
and ii) to be identified as one of our Associate Relationships,
we will provide you with our product banners and logos that you
can choose from and a search function for selecting specific types
of products that you can place on your website. You may display
any of these images or search function anywhere on your site.
We may modify the text or graphic image of this notice from time
to time. Nevertheless, even though you are a member of the Indo.com
Associate Program, you may not in any manner misrepresent or embellish
the relationship between you and us, nor may you express or imply
any relationship or affiliation between us and you or any other
person or entity except as expressly permitted by this Agreement.
The Design of Your Sites
As a member of our associate program(s) your web
site may not in any way copy or resemble the "look and feel" or
"design and features" of our web site as to wrongly represent
to users that your site is representing Indo.com. Furthermore,
you are prohibited in any way to create a misleading impression
that your site is our site or a part of our site
Full Cooperation
You agree to fully cooperate with us sequentially
to establish and maintain any links between the Indo.com web site
and your site. You also agree that those graphic images that you
display pertaining to the Indo.com web site, for use as a link
or otherwise, will only be graphic images that we provide to you
from the Associate Command Center. If we update those graphics,
you will need to replace our old graphics with the new ones.
Maintaining Your Site
Indo.com have the right to monitor your site
at any time to determine if you are following the terms and
conditions of this Agreement and to notify you of any changes
to your site that we feel should be made.
Reward Points and Commission Payment
You are eligible to earn reward points/ commissions
on all hotel booked during the term of this Agreement, where
the customer follows a Link from your Associate Site directly
to Indo.com and that customer, using Indo.com's online booking
system, successfully books a hotel stay. We will pay you a
reward points/ commission only if the customer is tracked
on our internal online ordering system from the time the Link
is initiated on your Associate Site to the time of the sale.
You agree that no commission will be paid if the customer
cannot be tracked by our internal ordering system.
Term of the Agreement
The term of this Agreement will begin upon
our acceptance of your Associate Program Application and
will end when terminated by either party. Either party
may terminate this Agreement at any time, with or without
cause, by giving the other party written notice of termination.
Written notice can be in the form of mail, email or fax.
You are only eligible to earn a reward points/ commission
on Bookings occurring during the term of the Agreement,
and commissions earned through the date of termination
will remain payable only if the related Bookings are not
cancelled or returned. If this Agreement is terminated
because you have violated the terms of this Agreement,
you are not eligible to receive any commission payments,
even for commissions earned prior to termination.
Warranties and Disclaimer
ALL MATERIALS SUCH AS INFORMATION, SOFTWARE,
PRODUCTS, AND SERVICES ARE PROVIDED ON "AS IS" AND "AS
AVAILABLE" WITHOUT WARRANTY OF ANY KIND. Indo.com excludes
any warranties, express or implied, as to the availability,
quality, timeliness, or performance for a particular purpose
of any of the Associates Program or services available
at Indo.com.
You shall be liable for all cost and expenses arising
or in connection with any unauthorized use of your username
or password or any other breach of security not attributable
to us. All information (including but not limited to name,
age, gender, address, e-mail address, passport number
and credit card information) provided to Indo.com is accurate,
true and complete.
Limitation Liability
INDO.COM MAKES NO RESPONSIBILITY, AND
SHALL NOT BE LIABLE FOR ANY DAMAGES TO, OR VIRUSES THAT
MAY INFECT YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY
ON ACCOUNT OF YOUR ACCESS TO, USE OF, OR BROWSING IN
THIS SITE OR DOWNLOADING OF ANY MATERIALS, DATA, TEXT,
OR IMAGES FROM THE SITE.
Indo.com does not accept any liability for any injuries,
losses, claims, damages or any indirect or consequential
loss of any kind in contract, tort or otherwise arising
out of the use of the Web site or for Associate Program
or services purchased from indo.com. Indo.com does not
guarantee the availability and/or quality of products
and/or services, accuracy of information provided by
third parties.
Indemnification
You agree to defend, indemnify, and
hold harmless indo.com, and their officers, directors,
employees and agents, from and against any claims,
actions or demands, including without limitation reasonable
legal and accounting fees, alleging or resulting from
your use of the Material (including Software) or your
breach of the terms of this agreement or inaccuracy
of information or the availability and/or quality
of Associates Program and/or services provided by
third parties. Indo.com shall provide notice to you
promptly of any such claim, suit, or proceeding and
shall assist you, at your expense, in defending any
such claim, suit or proceeding.
Alteration
We may modify, amend or alter any
of the terms and conditions contained in this Agreement,
at any time in our sole discretion. Notification to
you of any change by e-mail or posting of a change
notice on Indo.com shall be considered sufficient
notice to you of a modification to the terms and conditions
of this Agreement.
Governing Law
This agreement shall be governed by
the laws of Republic Indonesia.
